End-User Licencse Agreement

This End-User License Agreement (referred to as the "EULA") is a legally binding agreement between you, the Licensee, an individual end user, and Identum AS, the Licensor and the author of [SOFTWARE], the Software. By accessing or using the software provided under this Agreement, you agree to be bound by the terms and conditions set forth herein. If you do not agree to these terms and conditions, you may not download, install, or use the Software.
License Grant:
Licensor grants Licensee a limited, non-exclusive, non-transferable license to use the Software solely for Licensee's use for Licensee's internal business purposes, in accordance with the terms of this EULA.
Limitations
The Licensee may not:
Use the Software for any purpose other than the Licensee’s internal business purposes;
Use the Software for any illegal or unlawful purpose;
Duplicate or redistribute copies of the Software, without the Licensors express written permission.
Sublicense, lease, or transfer the software, except as expressly permitted.
Reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding the limitation.
End User Responsibilities
The end user is responsible for maintaining the confidentiality of their own user ID and password, and the end user is fully and solely responsible for all activities that occur through their user access, whether authorized by the end user or not. It is the end user's responsibility to take adequate precautions regarding their user access and to notify the Licensor immediately of any unauthorized use of their user access.
Intellectual Property Rights
The Software and all related materials are owned by Licensor and are protected by copyright and other intellectual property laws. Licensee agrees not to remove or modify any proprietary notices or markings. Users infringing Licensor’s copyright may be held liable for such violation.
Support and Maintenance
The Software is provided on an "as is" basis. Licensor is not obligated to provide support or maintenance services under this EULA unless otherwise specified. Licensor has no obligation to continue providing or updating any of the Software.
Warranty and Disclaimer
The Software and all applicable documentation is provided as-is, without warranty of any kind, whether express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Accordingly, the Licensee accepts any risk arising out of the use or performance of the Software.
Limitation of Liability
The Licensee agrees that the Licensor shall not be liable to Licensee, or any other related person or entity claiming any loss of profits, income, savings, or any other consequential, incidental, special, punitive, direct or indirect damage, whether arising in contract, tort, warranty, or otherwise. These limitations shall necessarily apply regardless of the primary purpose of any limited remedy. Under no circumstances shall Licensor’s aggregate liability to the Licensee, or any other person or entity claiming through the Licensee, exceed the actual monetary amount paid by the Licensee to Licensor for the Software.
Indemnification
You hereby agree to indemnify and hold Licensor harmless from and against all liabilities, damages, losses or expenses, including but not limited to reasonable attorney or other professional fees in any claim, demand, action or proceeding initiated by any third-party against Licensor, arising from any of your acts, including without limitation, violating this EULA or any other agreement or any applicable law.
Entire Agreement
This Agreement rightly constitutes the entire understanding between the Licensor and the Licensee. It supersedes all prior agreements of the parties, whether written or oral, express or implied, statement, condition, or a representation or warranty.
Termination
This EULA takes effect from the time the end user first accesses, downloads, or otherwise uses the Software.
The Licensor has the right to terminate the EULA with a specific end user with thirty (30) days written notice to the end user. The EULA will automatically terminate if the agreement between the customer and the Licensor is terminated or if the end user does not comply with any of the terms and conditions of this EULA.
Upon termination of the EULA, the end user will immediately cease using the Software, and the end user agrees to delete or destroy all copies of the Software and confidential information, including documentation, or return them to the Licensor upon termination.
Non-Transferability
This EULA is not assignable or transferable by the Licensee without the prior written consent of Licensor; and any attempt to do so shall be void.
Governing Law and Jurisdiction
This EULA shall be governed by and construed in accordance with the laws of Norway, without regard to its conflict of law principles. Any legal action relating to this EULA shall be brought exclusively in the courts of Oslo, Norway, and all parties consent to the jurisdiction thereof.
